These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cygnus Horizon Advisory Group, LLC, a Florida limited liability company ("Cygnus Horizon," "we," "us," or "our"), governing your access to and use of the Deneb DealFlow℠ deal intelligence platform, including the website at denebdealflow.ai and all associated services, intake workflows, matching tools, and platform functionality (collectively, the "Platform").

Deneb DealFlow℠ is a structured deal intelligence platform designed to facilitate verified, alignment-scored introductions between Capital Providers, Project Sponsors, and Deal Partners (collectively, "Participants") involved in complex, high-value transactions. The Platform is not a marketplace, broker-dealer, investment adviser, financial institution, or legal service provider.

The Platform provides:

• Role-based intake and onboarding pathways for Capital Providers, Project Sponsors, and Deal Partners
• Structured credibility assessment and verification intake for counterparty review
• Three-way alignment scoring across sector, geography, deal size, mandate parameters, and role compatibility
• Structured introduction facilitation, subject to human review and both-party indication of interest
• Structured deal workflow tools for qualified participants

Access to the Platform is restricted to:

• Legal entities or individuals acting in a professional capacity on behalf of a legal entity
• Persons aged 18 or older
• Persons with full legal authority to enter binding agreements on behalf of their organization
• Participants whose role and use case are consistent with the Platform's stated purpose

By using the Platform, you represent and warrant that you meet all eligibility requirements. We reserve the right to deny, suspend, or terminate access at any time without liability where eligibility requirements are not met.

You represent and warrant that all information submitted through the Platform is accurate, complete, and not misleading. Submission of false, inaccurate, or misleading information is grounds for immediate and permanent termination of access.

Submission of an intake form does not guarantee: (a) acceptance to the Platform or early access program; (b) introduction to any counterparty; (c) access to capital or capital deployment; (d) transaction support or funding outcomes; or (e) any specific response timeline. Participation is selective, at the sole discretion of Cygnus Horizon.

Submission of information to the Platform constitutes your authorization for Cygnus Horizon to review, evaluate, and use that information for matching, verification, and introductions consistent with these Terms and the Privacy Statement.

The Platform conducts structured credibility assessments that may include review of corporate registration status, regulatory compliance posture, financial standing, and transaction track record.

All content, materials, software, trademarks, service marks, logos, and intellectual property on the Platform — including Deneb DealFlow℠, the matching methodology, scoring logic, and platform architecture — are the exclusive property of Cygnus Horizon Advisory Group, LLC or its licensors, protected under applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not:

• Copy, reproduce, distribute, or publicly display any Platform content without prior written consent
• Reverse engineer or attempt to derive the Platform's source code or matching methodology
• Use Platform content, data, or methodology to build a competing product or service
• Remove or alter any proprietary markings, trademarks, or copyright notices
• Scrape, harvest, or systematically extract data from the Platform

You agree not to:

• Use the Platform for any unlawful, fraudulent, or deceptive purpose
• Submit false, misleading, or fabricated information in any intake form or communication
• Circumvent, disable, or interfere with any security feature or access control of the Platform
• Use the Platform to solicit or conduct business outside its stated purpose
• Transmit malicious code, viruses, or harmful data through the Platform
• Attempt to gain unauthorized access to any portion of the Platform or to any other User's information

You agree to defend, indemnify, and hold harmless Cygnus Horizon Advisory Group, LLC and its officers, directors, employees, agents, and affiliates from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) information you submit; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right; or (e) any transaction or agreement entered into as a result of a Platform introduction.

Information shared with you in connection with a structured introduction is confidential. You agree not to disclose, reproduce, or use such information for any purpose other than evaluating the specific potential engagement for which it was shared, without express written consent of the submitting Participant and Cygnus Horizon. This obligation survives termination of your Platform access.

We reserve the right to suspend or terminate your access at any time, with or without notice, for any reason, including breach of these Terms or conduct inconsistent with the Platform's purpose. Upon termination, all rights granted under these Terms immediately cease. Sections that by their nature should survive termination will survive.

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida.

Entire Agreement: These Terms, together with the Privacy Statement, Cookie Policy, and other incorporated policies, constitute the entire agreement between you and Cygnus Horizon with respect to your use of the Platform.

Severability: If any provision is found unenforceable, remaining provisions remain in full force.

Waiver: Failure to enforce any provision shall not constitute waiver of the right to enforce it in the future.

Assignment: You may not assign your rights or obligations without prior written consent. We may assign these Terms freely.

Modifications: We reserve the right to modify these Terms at any time. Continued use after changes constitutes acceptance.
